Section 01
The agreement
These Terms of Service, together with any policies or agreements incorporated by reference, are an agreement between you and Ongoing LLC (“Ongoing,” “we,” “us,” or “our”). They govern your access to and use of Ongoing.AI, including the marketing site, dashboard, dataset, API, MCP server, and related products and services (collectively, the “Service”).
By creating an account, subscribing to a paid plan, accessing the Service, or using the Service in any way, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree to these Terms, you may not use the Service.
If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” refers to that organization.
Section 02
Accounts
You need an account to access most parts of the Service. You agree to provide accurate account information, keep your credentials secure, and notify us promptly if you believe your account has been compromised.
You are responsible for activity that occurs under your account, including activity by users invited to your organization.
Access to the Service may be invite-only or subject to approval. We may accept, decline, pause, or revoke access where we determine that access creates operational, legal, security, abuse, or compliance risk for Ongoing, our customers, or third parties.
Ongoing is designed for organization-based use. Subscriptions are owned by organizations. Users may belong to one or more organizations, and access is controlled by organization membership and role-based permissions.
Section 03
Subscriptions & billing
Paid plans are billed in advance on a recurring basis, either monthly or annually depending on the plan selected. Current plan tiers and pricing are listed on the Pricing page. Billing is processed by Stripe or another payment processor we may use from time to time. Ongoing does not see or store your full payment card number.
Auto-renewal. Paid subscriptions automatically renew at the end of each billing period unless cancelled before renewal.
Cancellation. You may cancel your subscription from your organization’s billing settings. Unless otherwise stated, cancellation takes effect at the end of the then-current billing period, and your access continues until that period ends.
Refunds. Fees are non-refundable except where required by law or expressly agreed by Ongoing in writing. We may, at our discretion, provide credits or refunds in specific cases, but doing so does not create an obligation to provide credits or refunds in the future.
Failed payments. If payment fails, we may retry the charge, request updated payment information, downgrade access, pause access, or suspend the subscription until payment is completed.
Price changes. We may change plan pricing for future billing periods. For existing paid subscriptions, we will provide at least 30 days’ notice of a material price increase before it takes effect. The updated price will apply on your next renewal after the notice period. If you do not agree to the updated price, you may cancel before renewal.
Taxes. Fees do not include taxes unless stated otherwise. Where required, taxes may be added at checkout or invoicing. You are responsible for taxes, duties, or similar charges associated with your purchase, except for taxes based on Ongoing’s income.
Section 04
Permitted use
Ongoing Data
For purposes of these Terms, “Ongoing Data” means any data, output, signal, record, ranking, score, detection, classification, summary, fingerprint, insight, export, API response, MCP response, dashboard result, metadata, or derived work made available through Ongoing.AI or the Service.
Ongoing Data includes outputs generated from public sources, third-party sources, customer inputs, and Ongoing’s proprietary collection systems, detection logic, classification methods, ranking systems, enrichment workflows, algorithms, and analysis.
Ongoing Data is licensed, not sold. Except as expressly permitted by the Service, your subscription, or a written agreement with Ongoing, you may use Ongoing Data only for your internal business purposes.
License grant
Subject to these Terms, your subscription, and our Acceptable Use Policy, Ongoing grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.
Restrictions on competitive use and redistribution
You may not, and may not permit any third party to:
- copy, scrape, crawl, bulk export, mirror, syndicate, cache, store, reproduce, publish, display, sell, resell, sublicense, redistribute, transfer, or make available Ongoing Data except through documented product functionality or with Ongoing’s prior written authorization;
- use the Service, substrate, API, MCP server, or Ongoing Data to build, train, fine-tune, benchmark, evaluate, enrich, validate, populate, or improve any product, dataset, model, database, index, directory, marketplace, research tool, intelligence platform, analytics product, lead product, enrichment product, competitive-monitoring product, or service that competes with Ongoing;
- use Ongoing Data to create a substitute for the Service or to reduce the need for a customer, prospect, vendor, partner, or third party to subscribe to or access the Service directly;
- combine Ongoing Data with other data in a way that enables a third party to reconstruct, approximate, replicate, or commercially exploit a substantial portion of the substrate;
- circumvent authentication, billing, rate limits, access controls, usage limits, or technical restrictions;
- reverse engineer, decompile, disassemble, infer, extract, or attempt to derive source code, underlying systems, models, rules, non-public data structures, proprietary algorithms, detection methods, ranking logic, enrichment workflows, source selection, or scoring systems from the Service;
- use screenshots, exports, API responses, MCP responses, or other outputs from the Service as a source dataset for any competing or redistributed product;
- use the Service to send spam, unlawful outreach, deceptive messages, harassment, or automated abuse to merchants, app developers, vendors, or any third party;
- use the Service in a way that violates applicable law, third-party rights, third-party terms, platform rules, or anti-spam, privacy, consumer protection, or intellectual-property laws;
- misrepresent Ongoing Data, including detections, rankings, classifications, summaries, or inferred signals, as guaranteed, exhaustive, officially endorsed, or independently verified by the referenced third party;
- attempt to disrupt, overload, compromise, probe, scan, or test the vulnerability of the Service or related infrastructure except as part of a responsible disclosure made in good faith.
For clarity, these restrictions apply whether Ongoing Data is accessed through the dashboard, API, MCP server, exports, screenshots, reports, browser sessions, automated tools, or any other Service surface.
Our Acceptable Use Policy provides additional rules for using the Service. A violation of the Acceptable Use Policy is a violation of these Terms.
Section 05
Substrate: sources, scope & accuracy
What the substrate is
Ongoing.AI provides a B2B intelligence substrate built from public business-level ecommerce signals. The substrate may include Shopify App Store listings, app developers, brand domains, technology fingerprints, install signals, category and keyword rankings, reviews, aggregate sentiment, time-series observations, and derived summaries or classifications.
We aggregate, analyze, and transform information from public sources, search engines, the open web, third-party platforms, and information you choose to provide. Ongoing outputs may include detections, rankings, counts, categories, summaries, trends, and other derived business signals.
What the substrate is not
Ongoing.AI is not a people-search service, contact-enrichment service, consumer-profile service, or personal-data brokerage service.
We do not intentionally extract, index, display, sell, or provide people-level personal information as a product output, including personal email addresses, phone numbers, postal addresses, private profiles, or individual consumer records.
Where public source material incidentally contains personal information, we use reasonable filtering, exclusion, and suppression practices intended to keep that information out of customer-facing substrate records.
How we collect
Our collection systems are designed to access publicly available business information. We do not intentionally bypass authentication, paywalls, CAPTCHAs, or other technical access controls.
We use operational controls, rate limits, and collection practices intended to reduce unnecessary burden on third-party services. In general, Ongoing displays derived signals, summaries, counts, classifications, and observations rather than reproducing source material verbatim.
Accuracy and coverage
The substrate is based on observable signals and derived analysis. It is not exhaustive, guaranteed, or error-free.
You acknowledge that:
- detections, classifications, app-install signals, technology fingerprints, and inferred relationships may contain false positives or false negatives;
- rankings, counts, reviews, category positions, and snapshots are point-in-time observations and may change between refreshes;
- coverage may be incomplete, delayed, or unavailable for some apps, brands, domains, categories, technologies, or markets;
- third-party platforms, storefronts, and services may change their structure, availability, terms, or technical surfaces at any time;
- Ongoing may modify, remove, suppress, or reclassify data to improve quality, comply with law, respect rights, reduce risk, or address abuse.
You are responsible for independently verifying Ongoing outputs before relying on them for outreach, spending, investment, hiring, legal, compliance, competitive, or other material decisions.
Section 06
Intellectual property
Ongoing, the Service, the substrate, software, workflows, designs, text, graphics, user interfaces, databases, trademarks, logos, and all related intellectual property are owned by Ongoing LLC or its licensors. These Terms do not transfer ownership of any Ongoing intellectual property to you.
Ongoing® and OngoingAI® are registered trademarks of Ongoing LLC.
Third-party names, marks, logos, apps, brands, vendors, platforms, and services referenced by the Service belong to their respective owners. References to third parties do not imply endorsement, sponsorship, partnership, authorization, or affiliation unless expressly stated.
You retain ownership of content you submit to the Service, such as organization details, prompts, uploaded files, notes, configuration, feedback, or other user-provided materials (“Customer Content”). You grant Ongoing a worldwide, non-exclusive, royalty-free license to use Customer Content as reasonably necessary to operate, secure, support, maintain, and improve the Service.
Proprietary data and investment
Ongoing Data is proprietary to Ongoing and is made available only as part of the Service. Ongoing Data is not merely a copy of public information. It is collected, selected, verified, filtered, structured, classified, ranked, scored, enriched, and delivered through Ongoing’s proprietary systems, detection logic, algorithms, workflows, infrastructure, and analysis.
The substrate represents substantial investment by Ongoing, including capital investment, engineering effort, infrastructure costs, collection systems, quality controls, enrichment processes, historical monitoring, and ongoing operational maintenance.
As between you and Ongoing, Ongoing owns and retains all rights, title, and interest in and to the Service, the substrate, Ongoing Data, proprietary algorithms, detection systems, ranking logic, classification methods, enrichment workflows, database structures, source-selection methods, and all related intellectual property and proprietary rights.
Ongoing Data is licensed, not sold. You receive only the limited right to access and use Ongoing Data for your internal business purposes as expressly permitted by your subscription, these Terms, product documentation, or a written agreement with Ongoing.
No rights are granted by implication. Ongoing reserves all rights not expressly granted.
Protection of rights
You acknowledge that unauthorized extraction, redistribution, resale, competitive use, reverse engineering, or misuse of Ongoing Data may cause substantial harm to Ongoing, including harm that may be difficult to measure through monetary damages alone.
Ongoing reserves all rights and remedies available under contract, intellectual-property, trade-secret, database, unfair-competition, computer-access, and other applicable laws. These remedies may include suspension or termination of access, revocation of API keys, preservation of logs and evidence, claims for damages, injunctive relief, equitable relief, recovery of costs and attorneys’ fees where available, and any other remedy available under applicable law.
Nothing in these Terms limits Ongoing’s right to investigate suspected misuse, enforce technical restrictions, protect the Service, or take legal action to prevent or remedy unauthorized access, extraction, redistribution, reverse engineering, competitive use, or infringement of Ongoing’s rights.
AI and model providers
Some Service features may use third-party model providers, including Anthropic and OpenAI, to enrich, classify, summarize, or transform inputs and substrate data.
We do not use Customer Content to train Ongoing-owned general-purpose AI models. Where we send Customer Content to third-party model providers to deliver Service features, we use provider offerings and settings intended for business/API use rather than consumer training use. If a provider materially changes its handling of API inputs in a way that conflicts with this commitment, we will modify the integration, change providers, or disable the affected feature before changing this commitment.
Feedback you voluntarily provide to Ongoing may be used to improve the Service, provided we do not use it in a way that identifies you publicly without permission.
Section 07
Warranties & liability
No warranties
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Ongoing disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and uninterrupted or error-free operation.
Ongoing does not warrant that the Service will be complete, current, secure, uninterrupted, error-free, or that any data, detection, ranking, classification, summary, or other output will be accurate or fit for your particular use case.
Limitation of liability
To the maximum extent permitted by law, Ongoing’s total liability arising out of or relating to these Terms or the Service will not exceed the greater of:
- the fees paid by you to Ongoing in the 12 months before the event giving rise to the claim; or
- $100 USD.
To the maximum extent permitted by law, Ongoing will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost goodwill, lost data, business interruption, substitute services, or loss of business opportunity.
Some jurisdictions do not allow certain disclaimers or limitations of liability. In those jurisdictions, the limitations above apply only to the maximum extent permitted by law.
Section 08
Indemnification
You will defend, indemnify, and hold harmless Ongoing LLC and its officers, directors, employees, contractors, affiliates, and agents from and against any third-party claim, demand, action, proceeding, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your use of the Service in violation of these Terms, the Acceptable Use Policy, or applicable law;
- your use of Ongoing Data for outreach, marketing, sales, enrichment, profiling, automation, or other third-party- facing activity;
- content, data, prompts, uploads, instructions, or materials you submit to the Service;
- your misrepresentation of Ongoing Data, including detections, rankings, classifications, summaries, or inferred signals, as guaranteed, endorsed, exhaustive, or independently verified by a referenced third party;
- your use of the Service, substrate, API, MCP server, or Ongoing Data to build, train, enrich, benchmark, or populate a competing product, dataset, model, index, or service;
- your violation of any third-party right, including intellectual-property, privacy, publicity, contractual, or platform rights;
- your violation of third-party terms of service, including terms of Shopify, search engines, app platforms, ecommerce platforms, or other services.
Ongoing will provide notice of any indemnifiable claim where reasonably practical and will reasonably cooperate in the defense at your expense. Ongoing may, at its option and expense, assume exclusive defense and control of any matter subject to indemnification. You may not settle any claim that imposes liability, admission, obligation, or restriction on Ongoing without Ongoing’s prior written consent.
Section 09
Suspension & termination
You may stop using the Service at any time. Paid subscriptions may be cancelled as described in the Subscriptions & billing section.
We may suspend, limit, or terminate access to the Service, with or without notice, if:
- you violate these Terms or the Acceptable Use Policy;
- payment is overdue or cannot be processed;
- your use creates legal, security, operational, abuse, platform, or reputational risk;
- we are required to do so by law, court order, platform requirement, or government request;
- continued access could harm Ongoing, our customers, third parties, or the integrity of the Service.
Where practical and lawful, we will attempt to provide notice and an opportunity to resolve the issue. However, we may act immediately where necessary to protect the Service, customers, infrastructure, or third parties.
Sections that by their nature should survive termination will survive, including intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, dispute provisions, and governing law.
Section 10
Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will provide reasonable notice, such as by email, in-product notice, or a notice on the Service.
Updated Terms become effective on the date stated in the updated version. Your continued use of the Service after the effective date means you accept the updated Terms.
If you do not agree to the updated Terms, you must stop using the Service and cancel any paid subscription before the updated Terms take effect.
Section 11
Governing law
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in California, and each party consents to the jurisdiction and venue of those courts.
Nothing in this section limits any rights you may have under mandatory consumer-protection laws that cannot be waived by contract.
