Section 01
The agreement
These Terms of Service (the “Terms”) are an agreement between you and Ongoing LLC (“Ongoing,” “we,” “us”). They govern your access to and use of Ongoing.AI — the marketing site, the substrate (our dataset of Shopify apps, brands, installs, reviews, and rank history), the dashboard, the HTTP API, and the MCP server (collectively, the “Service”).
By creating an account, subscribing, or otherwise using the Service, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy. If you don’t agree, don’t use the Service.
If you’re using the Service on behalf of a company or organization, you confirm you have the authority to bind that entity to these Terms, and “you” means that entity.
Section 02
Accounts
You need an account to use most of the Service. You agree to provide accurate information, keep your credentials secret, and let us know promptly if you suspect unauthorized access. You’re responsible for everything that happens under your account.
Access is currently invite-only. We may decline, pause, or revoke access at our discretion, including if we believe your use creates risk for Ongoing, our other users, or third parties.
Ongoing is built for organizations. A subscription is owned by an organization; users may belong to one or more organizations and are authorized by their membership role.
Section 03
Subscriptions & billing
Paid plans are billed in advance on a recurring basis (monthly or annual, depending on the plan you choose) by our payment processor, Stripe. We don’t see or store your full card number.
Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel.
Cancellation. You can cancel any time from your organization’s billing settings. Your access continues through the end of the period you’ve already paid for. We don’t pro-rate refunds for partial periods.
Refunds. Fees are non-refundable except where required by law or where we’ve clearly said otherwise in writing. If something is broken on our end, get in touch — we’ll make it right.
Failed payments. If a charge fails, we may retry and may pause access until payment succeeds.
Price changes. We may change prices for future billing periods with at least 30 days’ notice. The change takes effect on your next renewal; if you don’t agree, cancel before then.
Taxes. Fees don’t include taxes. Where we collect taxes, they’re added at checkout; otherwise you’re responsible for any tax owed on your purchase.
Section 04
How you may use Ongoing
Subject to these Terms, your subscription, and our Acceptable Use Policy, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service.
You may not, and may not allow anyone to:
- Scrape, crawl, bulk export, mirror, syndicate, or otherwise extract Ongoing’s data outside the documented ways the Service provides it.
- Use Ongoing’s data, API, or MCP server to build, train, or populate a product or dataset that competes with Ongoing.
- Resell, sublicense, or redistribute access to the Service or its data to anyone who hasn’t signed their own agreement with us.
- Circumvent rate limits, authentication, billing, or access controls.
- Reverse engineer, decompile, or attempt to derive the underlying source of the Service.
- Use the Service to spam merchants, harass app developers, violate third-party terms of service, or perform automated abuse against any third party.
- Misrepresent Ongoing data — including detections, rankings, and inferred classifications — as authoritative, endorsed, or guaranteed.
The Acceptable Use Policy expands on what counts as misuse. Violating it is a violation of these Terms.
Section 05
Substrate — sources, scope & accuracy
What the substrate is. Ongoing.AI is a B2B substrate of public business-level ecommerce signals: Shopify App Store listings, app developers, brand domains, install fingerprints, category and keyword rankings, review topics and aggregate sentiment, technology fingerprints, and time-series of all of the above. We aggregate and analyze information from public sources (including the Shopify App Store, search engines, and the open web) plus data you choose to provide, and we transform it into derived business signals (detections, rankings, time-series, summaries).
What the substrate is not. Ongoing.AI is not a people-search, contact-enrichment, lead-list, or personal-data brokerage service. We do not intentionally extract, index, display, or sell people-level personal information — including names, email addresses, phone numbers, postal addresses, or personal profiles — as part of the substrate or as a product output. Where public source material incidentally contains personal information, we apply reasonable filtering, exclusion, and suppression to keep it out of customer-facing records.
How we collect. Our crawlers are designed to access publicly available business information. We do not intentionally bypass authentication, paywalls, CAPTCHAs, or other technical access controls, and we use rate limits intended to reduce burden on third-party services. We generally show derived signals (counts, topics, sentiment, summaries) rather than reproducing source material verbatim.
Accuracy & coverage. We do our best to keep the substrate accurate, current, and well-calibrated, but you accept these realities:
- Detections (e.g. “this brand uses app X”) and classifications (e.g. vertical, size band) are probabilistic and may contain false positives and false negatives.
- Rankings and snapshots are point-in-time observations and can shift between refreshes.
- Coverage is not exhaustive. Some apps, brands, and signals may be missing, delayed, or inferred from incomplete inputs.
- Third-party platforms can change their surfaces at any time, which can change what we’re able to observe.
You’re responsible for verifying any Ongoing signal before taking action on it — especially decisions involving outreach, spending, hiring, investment, or legal claims about third parties.
Section 06
Intellectual property
Ongoing, the Service, the substrate, and all related software, designs, copy, and trademarks belong to Ongoing LLC. Nothing in these Terms transfers ownership to you. “Ongoing” and “OngoingAI” are registered trademarks of Ongoing LLC.
Names, marks, and logos of third parties referenced by the Service (Shopify, app developers, brands, vendors, and others) belong to their respective owners. Reference is not endorsement, sponsorship, or affiliation, and nothing in the Service should be read as implying any of those.
You retain ownership of any content you submit to the Service (for example, organization details, prompts, uploads, or feedback). You grant Ongoing a worldwide, non-exclusive, royalty-free license to use that content as needed to operate, secure, and improve the Service.
No training on your inputs. We do not use the content you submit to the Service to train, fine-tune, or evaluate AI models. We may transmit your inputs to model providers (for example, Anthropic and OpenAI) as needed to deliver Service features that depend on them; we rely on those providers’ standard API terms, under which API inputs are not used to train their models. If that ever changes for a provider we use, we’ll change provider or change the feature before changing this commitment.
Section 07
Warranties & liability
No warranties. The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Ongoing disclaims all warranties — express, implied, or statutory — including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.
Limitation of liability. To the maximum extent permitted by law, Ongoing’s total liability arising out of or relating to these Terms or the Service won’t exceed the greater of (a) the fees you paid Ongoing in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars. Ongoing won’t be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data.
Some jurisdictions don’t allow these limitations. In those jurisdictions, the above apply to the maximum extent permitted.
Section 08
Indemnification
You will defend, indemnify, and hold Ongoing LLC and its officers, directors, employees, and affiliates harmless from and against any third-party claim, demand, or action — including reasonable attorneys’ fees and costs — arising out of or related to:
- your use of the Service in violation of these Terms, the Acceptable Use Policy, or applicable law (including anti-spam, privacy, and consumer-protection laws);
- content or data you submit to the Service, or content you send to third parties based on Ongoing signals (for example, cold outreach to merchants or app developers);
- any claim that you misrepresented Ongoing data — including detections, rankings, and inferred classifications — as authoritative, endorsed, or guaranteed;
- your use of Ongoing outputs to build, train, or populate a product, dataset, or model that competes with Ongoing; or
- your violation of any third-party right, including intellectual property, privacy, or contract rights (such as the terms of service of Shopify, search engines, or other platforms).
Ongoing will give you prompt notice of any claim subject to this section and will reasonably cooperate in your defense at your expense. Ongoing may, at its option and expense, assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you’ll cooperate with Ongoing’s defense of that claim. You won’t settle any claim that imposes liability or admission on Ongoing without Ongoing’s prior written consent.
Section 09
Suspension & termination
You can stop using the Service and close your account at any time. Paid subscriptions are cancelled per the Subscriptions & billing section above.
We may suspend or terminate access — with or without notice — if you violate these Terms or the Acceptable Use Policy, if required by law, or if continuing to provide access creates undue risk for Ongoing or others. We’ll try to give notice where it’s practical and lawful.
Sections that by their nature should survive termination — intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
Section 10
Changes to these terms
We may update these Terms from time to time. If a change is material we’ll give reasonable notice, for example by email or by a banner on the Service. Continued use after the effective date of the updated Terms means you accept them.
Section 11
Governing law
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles. Disputes will be brought exclusively in the state or federal courts located in California, and both parties consent to that jurisdiction and venue. Nothing in this section limits any right you have under mandatory consumer-protection laws of your country of residence.
